Terms of Service

These Terms of Service ("Terms") govern your use of the Westbridge platform ("Service") operated by Westbridge ("we," "us," "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. The Service

Westbridge provides a cloud-based, multi-module business management platform including accounting, HR, payroll, inventory, CRM, and related tools. The Service is provided on a subscription basis.

We reserve the right to modify, suspend, or discontinue features of the Service at any time, with reasonable notice to subscribers.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access at support@westbridge.gy.

Each subscription is for a single legal entity. You may not share your account across multiple organizations.

3. Subscriptions and Payment

Subscriptions are billed monthly in advance in USD. Payment is processed securely through 2Checkout (Verifone). By subscribing, you authorize recurring charges to your payment method.

Module pricing is as displayed on westbridge.gy at the time of subscription. We will provide 30 days' notice before any price increases take effect for existing subscribers.

Subscriptions auto-renew unless cancelled before the next billing date. To cancel, email billing@westbridge.gy or use your account dashboard.

4. Free Trial and Refunds

We may offer free trial periods at our discretion. After trial expiry, the Service requires a paid subscription.

Refunds are handled case-by-case. Contact billing@westbridge.gy within 7 days of a charge if you believe it was made in error.

5. Your Data

You retain full ownership of all data you enter into the Westbridge platform. We act as a data processor on your behalf.

You may export your data in standard formats at any time. Upon subscription termination, you have 30 days to export your data before it is permanently deleted.

We do not access your business data except when required to provide technical support with your explicit permission, or as required by law.

We target 99.5% monthly uptime. Scheduled maintenance will be announced at least 24 hours in advance. We are not liable for downtime caused by third-party infrastructure providers, acts of God, or circumstances beyond our reasonable control.

8. Intellectual Property

The Westbridge name, logo, and platform design are our intellectual property. The underlying ERP engine is based on ERPNext (GPL-3.0), an open-source project by Frappe Technologies.

Nothing in these Terms grants you any license to use the Westbridge name or branding.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Westbridge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising from your use of the Service.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

10. Indemnification

You agree to indemnify and hold Westbridge harmless from any claims, losses, or damages arising from your violation of these Terms, your use of the Service, or your violation of any third-party rights.

11. Termination

Either party may terminate a subscription at any time. We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or engage in conduct harmful to the Service or other users.

Upon termination, your access to the Service ends immediately, and your data retention period begins as described in Section 5.

12. Governing Law

These Terms are governed by the laws of the Co-operative Republic of Guyana. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Guyana.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance.
